Terms of Service

The agreement between your organization and us for using Arpenna: what we provide, what stays yours, and what each of us is responsible for.

The service

Arpenna reads the construction drawings you upload and produces material takeoffs from them: measured quantities, a marked-up drawing set, estimates, quotes and exports.

These terms are an agreement between the organization you use Arpenna for (the customer, “you”) and the company that operates Arpenna (“we”, “us”).

Accounts and organizations

You sign in with your own account and work within an organization. Every project, drawing set and price book belongs to an organization, and only its members can see it.

Whoever accepts these terms for an organization confirms that they may agree to them on its behalf. Keep your sign-in to yourself, and tell us at once if you think someone else has used it.

Your drawings and outputs

You own the drawings and files you upload, and the takeoffs, estimates, quotes and exports made from them.

You give us permission to store and process them only to provide Arpenna to you, including through the subprocessors we list. You confirm that you have the right to upload them.

Takeoffs are estimates

Arpenna reads drawings automatically, and it can misread them: a scale, a wall, an opening or a quantity can be wrong.

Takeoffs, estimates and quotes are drafts for a person to check. Check them against the drawings before you rely on them, order materials or send a price. The quantities and prices you use are your responsibility.

Acceptable use

When you use the service, do not:

  • upload drawings or files you have no right to use;
  • try to reach another organization’s data, or get around the service’s security or limits;
  • overload, disrupt or reverse-engineer the service;
  • use it to break the law, or resell access to it without our agreement.

Fees

Arpenna is free while it is in pilot. Before we charge for it, we will tell you the prices in advance, and you can choose whether to continue.

Limits of liability

We provide the service as it is. We work to keep it available and correct, but we do not promise that it will be uninterrupted or free of errors.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits or lost bids, nor for losses caused by quantities or prices used without being checked. Our total liability is limited to what you paid us for the service in the twelve months before the claim.

Ending the agreement

You can stop using the service and delete your projects at any time.

We can suspend or end your access if you break these terms, and we will tell you why. When access ends, your projects are deleted as the Privacy Policy describes.

Changes to these terms

When we change these terms, we publish a new version with a new date, and ask you to accept it before you upload drawings or ask the assistant again.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario decide any dispute about them.
